Why did you decide to sell your business?
‘I wanted to realise my assets to fulfil other life goals.’

How did you find out about BCMS Corporate and why did you select us to
sell your business?

‘Introduced by my solicitor.’

Did you consider any competitors of ours and if so why did you not use them?
If you didn’t consider any competitors, why not?

‘Yes, I reviewed two alternative organisations. I selected BCMS Corporate
because you presented a sales approach to managing the sale lifecycle of Provek
rather than presenting your approach as a list of contacts.’

How did you feel the sale process was managed?
‘Exceptionally well, not all straight sailing but the skills and experience of the key
BCMS Corporate people meant that I was very happy with the conclusion.’

How important was confidentiality and why was this?
‘Very – I did not want my staff or customers finding out before I was comfortable
to tell them.’

Did the sale process affect the everyday management of your company?
‘Yes. This was a tough programme of work and despite long hours it did impact at
times, so it was important to minimise as many risks as we could throughout the
sale lifecycle.’

Are your staff staying with the company and was this an important factor in
the sale process?

‘Yes they are staying and it was very important to ensure the ongoing growth and
success of the company.’

Will you have any involvement in the business post sale and if not what does
the future hold for you?

‘Yes, I will be supporting the business for one or two days per week for the first
year.’

Would you recommend BCMS Corporate’s services to another company
considering selling?

‘Yes. The whole team were very professional and I have already recommended

‘Very satisfied; iIt is always possible to see potential improvements but the BCMS

Jay Brown, owner of Welcome Home, was ready for retirement and wanted to leave his company in the hands of a strategic acquirer who could facilitate its future growth. As both companies offer property management services and are based in the Oklahoma City region, ERA KyleCor seemed like a natural fit.

Prior to Jay’s acceptance of ERA KyleCor’s offer, BCMS determined 281 prospective buyers, had 28 requests for additional information, and assisted Jay through four meetings and three offers. As so often happens in BCMS-negotiated deals, the offer from ERA KyleCor was almost twice the lowest offer received.

Pharm/DUR Inc., a U.S firm with a nationwide auditing platform which reports inaccuracies in pharmacy transactions, thought they had identified their preferred acquirer very early in the BCMS assisted sale process. However, after lengthy negotiations, due diligence, and the agreement of an S.P.A. they eventually felt the potential acquirers didn’t provide an optimal match for them.

The firm was then taken back to market and subsequently agreed that the highly acquisitive parent company of a close competitor may provide the answer. Dallas-based ACS (Affiliated Computer Services Inc.), a major business process outsourcing firm had a strong history of successful acquisitions. ACS had fuelled its expansion by acquiring other businesses, growing to a current total revenue of $6.2 billion and staff of more than 74,000. In fact, BCMS Corporate had previously sold two companies to one of their acquisitions, Syan Holdings.

With ACS’s existing pharmacy audit and verification business, which it began five years ago, the acquisition strengthened the firm’s position in the marketplace. “This acquisition solidifies ACS’ leadership position in the pharmacy audit market, and will make the combined operation more competitive as we adopt Pharm/DUR’s auditing tools and leverage its nationwide distributed auditor network,” said Christopher T. Deelsynder, senior vice president and managing director of ACS Government Healthcare Solutions. “The veteran management team and talented employees of Pharm/DUR will continue to provide high quality service to its customers.”

Pharm/DUR’s shareholders were pleased with the outcome of the sale, which was precipitated by the previously discussed accepted offer, ten meetings, and the review of almost 300 prospective acquirers. “The client-focused cultures at Pharm/DUR and ACS will ensure a smooth transition for all of our employees and clients,” said Anthony Spay, CEO of Pharm/DUR. “Also, Pharm/DUR’s clients will benefit from ACS’ diverse healthcare management offerings that can further reduce their operating costs.”

BCMS Corporate helps fuel sale of fire safety specialist

International M&A specialistBCMS Corporate has completed the sale of fire suppression systems experts Gemini.

Founded in the late 1990s by John Reaks, the Surrey-based firm has become a leading provider of fire detection and fire suppression systems to the IT sector throughout the UK and Europe backed by a comprehensive after sales service.

Recently, John Reaks expressed a desire to retire and turned to BCMS Corporate to identify a suitable buyer. BCMS Corporate has previous experience of the sector having sold MSF in Horsham in West Sussex some 18 months ago.

The new owners of Gemini are Allied Protection Limited, a fire alarm and maintenance specialist, run by Managing Director Jamie Dawson, who is keen to expand Allied’s services and offer fire suppression system design, installation and maintenance. Under the terms of the agreement John Reaks will remain with the business for a minimum of six months to ensure a smooth transition period. 

Says Scott Jones, Deal Leader at BCMS Corporate: “We’re delighted to have completed the sale. There are obvious synergies between the companies and I am confident that together they will be a real force within the fire detection sector in the South East of England.”

Why We Need to Look to the Innovators

The UK is stubbornly refusing to follow some of its closest trading partners out of recession and into growth. Despite this however, and as this recession runs its course, our experience continues to be somewhat at odds with reporting and we have much to be optimistic about.

You will see from the selection of deals completed in the last quarter, demand by acquirers for good businesses is still strong both here and in our other offices around the World. Also, a range of independent surveys confirm both my own experience as Chairman of a family business and what our clients tell us.

One of the key traits of many family businesses and smaller and medium sized private enterprises in general is their flexibility, a capability to embrace change and innovate, not just from the top down but right across the business. When owners wish to sell though, it is possible to pass the business to a new owner whilst protecting the unique culture and employee prospects.

I expect that, like so many other disruptive times in the past, businesses will successfully evolve to suit new circumstances and ultimately be well placed to thrive. Like many of our clients we have taken the opportunity that the current recession has presented to look at every part of our business model and have honed, fine-tuned and modified where needed. Arguably, we may not have done this were it not for current circumstances but the benefits have been measurable and sustainable.

The owners of Spark Productions saw their business expand along with the growth of broadband and internet capabilities.
